Terms of Service

Terms of Service for the VDCloud website: governed by Moroccan law, covering contact forms, intellectual property and data protection.

Article 1 — Purpose

These Terms of Service ("Terms") define the terms and conditions under which VDCloud ("the Publisher", "we") makes available to users ("the User", "you") the website accessible at www.vdcloud.net ("the Site"), as well as the rights and obligations of the parties in this context.

VDCloud is a software solution published by VDISTRI SOLUTIONS, a limited liability company (SARL) incorporated under Moroccan law, with its registered office in Casablanca, registered with the Casablanca Trade Register (RC) under No. [RC], Common Business Identifier (ICE) No. [ICE].

The Site presents the CRM / call center software solutions published by VDISTRI SOLUTIONS under the VDCloud brand and allows, in particular, the User to request contact, a demonstration, or commercial information through dedicated forms.

These Terms are governed by Moroccan law, in particular the Dahir of 9 Ramadan 1331 (August 12, 1913) forming the Code of Obligations and Contracts ("D.O.C."), Law No. 31-08 on consumer protection measures, Law No. 09-08 on the protection of individuals with regard to the processing of personal data, and Law No. 53-05 on the electronic exchange of legal data.

Article 2 — Acceptance of these Terms

Access to and use of the Site, and in particular the submission of any form (contact, demo request), implies full and unreserved acceptance of these Terms by the User. The User acknowledges having read them before submitting any form, as evidenced by the dedicated checkbox.

If the User does not accept all or part of these Terms, they are invited not to use the Site or to submit information through its forms.

Article 3 — Access to the Site

The Site is accessible free of charge, from anywhere, to any User with internet access. The Publisher implements all reasonable means at its disposal to ensure continuous access to the Site, without being bound by an obligation of result. The Publisher cannot be held liable for any damage, of any nature whatsoever, resulting from the temporary or permanent unavailability of the Site, in particular in the event of maintenance, updates, technical failure, force majeure, or the act of a third party (host, internet service provider).

Article 4 — Contact and demo request forms

The Site provides the User with forms allowing them to request contact or a demonstration of VDCloud's solutions. The User undertakes to provide accurate, up-to-date, and complete information, and shall not impersonate any third party or use a third party's contact details without their consent.

The User undertakes not to use automated means (bots, scripts, mass-submission tools) to submit the Site's forms. VDCloud reserves the right to refuse, filter, or delete, without notice or justification, any submission it deems fraudulent, abusive, or resulting from automated use, and to implement any technical protection measure it deems useful for this purpose (including an anti-bot verification mechanism).

Submitting a form does not constitute, under any circumstances, a contractual commitment on the part of VDCloud, nor an obligation to respond within a specified timeframe. The indicated processing time (for information purposes only, within 24 business hours) may vary, in particular in the event of high volume, force majeure, or incomplete data submitted by the User.

Article 5 — Intellectual property

All elements making up the Site (text, images, graphics, logo, icons, videos, site structure, database) are the exclusive property of VDCloud or its partners, and are protected as such under the Moroccan Industrial Property Code (Law No. 17-97) and applicable international copyright conventions.

Any reproduction, representation, modification, publication, transmission, or distortion, in whole or in part, of the Site or its content, by any process whatsoever and on any medium whatsoever, is strictly prohibited without the prior written authorization of VDCloud.

Article 6 — Hyperlinks

The Site may contain hyperlinks to third-party sites (social networks, WhatsApp messaging, partners). VDCloud exercises no control over these sites and disclaims all liability for their content, availability, or any damage that may result from consulting or using them.

Article 7 — Personal data

Information collected through the Site's forms is processed electronically for the purpose of managing contact and demo requests, in accordance with Law No. 09-08 on the protection of individuals with regard to the processing of personal data, as promulgated by Dahir No. 1-09-15 of February 18, 2009.

In accordance with this law, the User has a right of access, rectification, objection, and deletion of their data, which they may exercise by sending a written request accompanied by a copy of their identity document to: contact@vdcloud.net. For more details, the User is invited to consult the Site's Privacy Policy.

Article 8 — Limitation of liability

VDCloud cannot be held liable for direct or indirect, material or immaterial damages resulting from the use of the Site or the impossibility of accessing it, including, without limitation: data loss, loss of revenue, business loss, or any damage resulting from an interruption, suspension, or malfunction of the Site.

VDCloud does not guarantee that the Site, and the information and tools available on it, are free of errors, bugs, or inaccuracies. The User acknowledges using the Site at their own risk.

VDCloud likewise cannot be held liable for the accuracy, truthfulness, or lawfulness of information submitted by the User through the Site's forms, nor for any consequences that may result from the User submitting erroneous, incomplete, or false information.

Article 9 — Prohibited uses

The User is strictly prohibited from: interfering with the proper functioning of the Site (introducing viruses, attempting intrusion, flooding forms); collecting or extracting, by automated or other means, all or part of the Site's content (scraping) without prior authorization; using the Site for fraudulent purposes or in violation of public order and morality, or in breach of applicable Moroccan law, in particular Law No. 07-03 supplementing the Penal Code regarding offenses relating to automated data processing systems.

Article 10 — Amendments to these Terms

VDCloud reserves the right to amend these Terms at any time and without notice, in order to adapt them to changes in the Site or applicable legislation. The applicable version is the one in force on the date the User consults the Site or submits a form.

Article 11 — Governing law and jurisdiction

These Terms are governed by Moroccan law. In the event of a dispute relating to their validity, interpretation, or performance, and failing an amicable resolution, exclusive jurisdiction is granted to the commercial courts of Casablanca, notwithstanding plurality of defendants or third-party proceedings.

Article 12 — Contact

For any question relating to these Terms, the User may contact VDCloud at: contact@vdcloud.net.
